Corporate Paralegal
Description Boutique corporate law firm has an immediate opening for a Corporate Paralegal! This Corporate Paralegal will support multiple transactional attorneys who specialize in providing legal counsel to startups in the San Francsico Bay Area. As a Corporate Paralegal with this firm, you'll be involved with corporate transactions, contracts, business formation, and securities matters. The role offers a hybrid schedule, requiring on-site work 2x per week in San Jose, CA and remote work the remaining days. The ideal candidate will have at least 1-5+ years of paralegal experience supporting transactional attorneys in a law firm setting. Responsibilities: • Assist with the preparation and management of signature pages for transactional documents. • Create and organize closing binders for completed corporate transactions. • Assist with securities filings and ensure compliance with regulatory requirements. • Support the drafting and review of basic formation documents for new entities. • Prepare and review Non-Disclosure Agreements (NDAs) and other standard contracts. • Collaborate on corporate governance tasks, including entity formation and maintenance. • Provide assistance with startup-related legal matters and ensure accurate documentation. • Work closely with corporate associates to facilitate smooth legal processes. • Maintain organized records and ensure timely filing of all legal documents. Requirements Qualifications: • 1-5+ years of paralegal experience supporting transactional attorneys in a law firm setting • Familiarity with startup clients and related legal processes preferred. • Proficiency in handling entity formation and corporate governance tasks. • Experience with reviewing and drafting contracts, including NDAs is preferred. • Knowledge of SEC filings and compliance requirements is a plus. • Strong organizational skills and attention to detail. • Ability to work on-site in San Jose, California two days per week (Tuesdays and Wednesdays). • Excellent communication skills to collaborate effectively with team members and stakeholders.
